Terms of Service

1. Operator and acceptance

CueSift is operated by 广州码蚁科技有限公司, a company established under the laws of the People's Republic of China, with its principal business address at 广州市天河区菁晖街12号, 中国 ("CueSift", "we", "us", or "our"). These Terms form an agreement between you and 广州码蚁科技有限公司 for access to the Service at https://cuesift.com. Waffo Pancake separately acts as Merchant of Record for paid transactions as described below.

By creating an account, starting a subscription, or using the Service, you confirm that you are at least 18 years old, can enter into a binding agreement, have read these Terms and our Privacy Policy, and have authority to act for any organization you represent. If you do not agree, do not use the Service.

2. Service description

CueSift is an online software service that inspects supported public video links, obtains available source captions or uses automated speech recognition, and lets users review, edit, and export timestamped subtitles. Paid digital access and minutes are delivered to the account after payment confirmation.

The Service relies on third parties, including video platforms, Cloudflare hosting and storage, Google authentication and analytics, Alibaba Cloud Model Studio speech recognition, email delivery providers, and Waffo Pancake payment services. Changes or outages at those providers may affect availability.

3. Accounts and security

You must provide accurate, current information, keep your billing email available, protect your credentials, and promptly tell us about suspected unauthorized use. You are responsible for activity under your account unless applicable law provides otherwise. Credentials may not be shared or transferred.

4. Monthly plan and minutes

The current CueSift monthly plan costs US$9.90 and adds 300 caption-extraction minutes after each successful monthly payment. The checkout page displays the binding price, currency, billing interval, taxes, and product details before purchase. Any conflicting checkout information controls that transaction.

Video duration is rounded up to the next whole minute for usage calculation. Minutes are charged only after a task completes; reserved minutes are released when a task fails or is canceled. Credited minutes do not expire solely because the subscription is canceled, but they are non-transferable, have no cash value, and remain subject to account status and these Terms.

5. Billing, tax, and automatic renewal

By subscribing and providing a payment method, you expressly authorize recurring monthly charges at the price shown at checkout until you cancel. The subscription renews automatically on the corresponding billing date. Waffo Pancake is the Merchant of Record and processes payment, applicable tax, invoices, receipts, and payment-method data. CueSift does not receive or store your full card number.

We may change future pricing or plan features. A subscription price increase will be notified at least 30 days before it applies, and any consent required by law will be requested. Price changes do not affect a completed billing period.

6. Canceling a subscription

You may cancel online at any time through the Waffo Pancake Consumer Portal using the email address used at checkout. Open Subscriptions, select the CueSift subscription, choose Cancel Subscription, and confirm. Submit the request at least one hour before the next billing time. You may also ask support for assistance, but the online portal is the fastest method. Open the Consumer Portal.

Cancellation stops future renewal charges and takes effect at the end of the current paid billing period. It does not automatically refund the current period. You may continue using the paid service and remaining minutes through the account, subject to these Terms.

7. Refund policy

Because access and minutes are digital and made available promptly after payment, subscription fees are generally non-refundable after use. A first-time subscriber may request a full refund within 7 days of the first charge if none of the credited minutes has been used. We also refund verified duplicate or erroneous charges and may provide a proportional refund or service extension for a verified CueSift-controlled outage lasting more than 72 consecutive hours.

To request a refund, email support from the account email with the transaction ID and reason. We normally acknowledge requests within 2 business days. Approved refunds are submitted to the original payment method through Waffo Pancake and commonly appear within 5-10 business days, subject to the bank and payment network. Nothing in this policy limits mandatory cancellation, withdrawal, refund, or consumer rights under applicable law. support@cuesift.com.

8. Billing disputes

If you believe a charge is incorrect or do not recognize the billing descriptor, contact us before opening a bank dispute so we can investigate. Include the account email, date, amount, and transaction ID. We aim to respond within 2 business days and resolve a confirmed billing error within 5 business days.

9. User content and intellectual property

You retain your rights in video links, captions, edits, and other content you submit, and in the resulting subtitle output to the extent permitted by law and third-party rights. You grant CueSift a limited, non-exclusive license to access, copy, process, transmit, and store that content only as needed to provide, secure, support, and troubleshoot the Service. We do not use private subtitle content to train general-purpose AI models without your explicit consent.

CueSift and its licensors retain all rights in the website, software, design, branding, and documentation. Automated captions may be incomplete or inaccurate; you must review them before publication or reliance.

10. Acceptable use

You may process only public videos and other content you own, are licensed to use, or are otherwise legally permitted to process. You must comply with copyright, privacy, publicity, contract, platform, sanctions, export-control, and other applicable laws and rights.

• Do not bypass access controls, paywalls, geographic restrictions, authentication, or technical protections.
• Do not submit unlawful, abusive, deceptive, infringing, privacy-invasive, exploitative, or child-sexual-abuse content.
• Do not probe security, distribute malware or phishing, interfere with the Service, evade usage limits, scrape at scale, or make excessive automated requests.
• Do not resell access, misrepresent affiliation with CueSift or a video platform, or use output as professional legal, medical, or financial advice.

11. Privacy and payment data

Our Privacy Policy explains how CueSift handles personal information. Waffo Pancake processes payment-card and billing data through its hosted checkout; full card data does not pass through or remain on CueSift servers. Read the Privacy Policy.

12. Availability, disclaimers, and liability

The Service is provided on an as-is and as-available basis. Video platforms change frequently, source captions and audio quality vary, and automated output may contain errors. To the maximum extent permitted by law, we disclaim implied warranties and are not liable for indirect, incidental, special, consequential, or punitive loss. CueSift's aggregate liability arising from the Service will not exceed the amount you paid for it during the 12 months before the event giving rise to the claim.

These exclusions and limits do not apply where prohibited by law, including liability that cannot legally be excluded and mandatory consumer guarantees.

13. Suspension and termination

We may limit, suspend, or terminate access to address a material breach, abuse, fraud, security risk, non-payment, third-party platform requirement, or legal obligation. Where reasonably possible, we will provide notice and an opportunity to remedy. If we permanently discontinue a paid service for reasons unrelated to your breach, we will provide an appropriate proportional refund or equivalent remedy required by law.

14. Changes and disputes

Material changes to these Terms will be posted here and, where appropriate, notified by email or in-product notice at least 15 days before taking effect. Changes required for law, security, or urgent abuse prevention may take effect sooner. These Terms are governed by the laws of the People's Republic of China, without depriving consumers of mandatory protections in their home jurisdiction. Please contact us first so we can try to resolve a dispute informally; unresolved disputes may be brought before a competent court in accordance with applicable procedural law.
